The fund is open-ended – there will be no suspension of distribution, and the duration of the fund is indefinite.
During the initial distribution period, which runs until 31 January 2025, lower distribution fees will apply and units will be issued each month. After the initial distribution, units of the fund will be issued every 3 months.

The fund management fee will vary depending on the fund’s unit class:

  • 1.5% for Class A (for purchases of units between EUR 5,000 and EUR 29,999).
  • 1% for Class B (for purchases of units from EUR 30,000).

Other charges deducted from the fund’s assets are disclosed in the documents of the fund.

*Terms and conditions of redemption During the lifetime of the Fund, units will be redeemed every three months at the request of participants.
For the purpose of managing the Fund’s liquidity in the first year of operation, a redemption fee of 10% is applied during the first two years of the Fund’s operation. Where the aggregate amount of redemption requests submitted by all Participants at any one time exceeds 10 per cent of the Fund’s net asset value (NAV) for the preceding Period, the Management Company will have the right to reject a proportionate part of the Participants’ requests to redeem units.

Important to know

Investments in units of SB Alternative Investment Fund III, an open-ended special investment fund investing in other collective investment undertakings (hereinafter, the “Fund”), are subject to the investment risk and other risks specified in the Fund Rules and the Prospectus. The value of an investment can go up or down, and an investor can get back less than he/she invested, or even lose all the money invested. The fund management company SB Asset Management UAB (hereinafter, the “Management Company”) does not guarantee the profitability of investments. Before making an investment decision, the investor should, either on his/her own or with the assistance of an investment advisor, evaluate the Fund’s investment strategy, the applicable fees, all risks associated with the investment and carefully read the Fund’s Prospectus, Rules, Key Investor Information Document and other documents for investors, which can be found at sb.lt/aif3 or can be obtained free of charge at the customer service points.

The Fund will invest the majority of its assets in other collective investment undertakings. Up to 100% of the Fund’s assets may be invested in collective investment undertakings other than harmonised collective investment undertakings, including qualifying special purpose collective investment undertakings, collective investment undertakings for informed investors and collective investment undertakings other than harmonised collective investment undertakings which in turn invest the majority of their assets in an alternative asset class, comprising private equity, debt, real assets (mainly infrastructure) and other alternative asset classes (hereinafter, the “Alternative CIUs”). At the commencement of the Fund’s operations and/or in the absence of the possibility of investing the Fund’s assets in Alternative CIUs and/or in order to manage the Fund’s liquidity risk, the Fund’s assets may be invested, subject to diversification requirements, in units of investment funds investing in debt securities and/or other money market (including deposits) or debt financial instruments (directly or through other collective investment undertakings). When investing the Fund’s assets, preference will be given to other collective investment undertakings managed by the Management Company. The Fund will seek to invest in a portfolio of collective investment undertakings that seeks an average annual after-tax return of 8–8.5% (depending on the amount invested). The Management Company would like to point out to investors that the actual performance of the Fund’s investments may vary, and the Management Company does not guarantee the profitability of the investments or that the Fund’s performance objectives will be achieved.

The Fund is open-ended, but a redemption fee of up to 10% may apply during the first 2 years of the Fund’s operation, and redemptions of the units will be carried out in accordance with the procedure set out in the Prospectus and the Fund Rules.
